Setting up and operating in Honduras

We coordinate business projects with operational capacity in Honduras. Each proposal identifies the contracting entity, scope, participants and responsibilities before work begins.

Initial guidance

Is this the right route for your project?

Honduras: When the company, operation or main procedure will be carried out in Honduras.

Decide first

  • Activity, city and municipality of operation
  • Shareholders, management and structure to be assessed
  • Registered address, banking and initial obligations

Prepare for the assessment

  • Identification and corporate documents
  • Foreign documents ready for use in Honduras
  • Operational scope and target date

Essential limit

The proposal identifies the contracting and invoicing entity. Regulated acts and institutional decisions remain with Honduran professionals and authorities.

01Who it is for

Who it is for

For Salvadoran and international companies that need to form a company in Honduras, open operations in the country or coordinate activities carried out in Honduran territory.

Regulated acts are carried out by licensed Honduran notaries, lawyers and accountants. Honduras has its own corporate, tax and municipal framework, which requires local preparation; we organize the file in the order required by the commercial registry, the tax authority and the municipality.

02Problems it solves

Problems it solves

  • Not knowing the order of the procedures before the commercial registry, the tax authority and the municipality.
  • Foreign documents that are not ready to be filed in Honduras.
  • Lack of clarity about who contracts, who carries out and who invoices each part of the project.
  • Difficulty following progress from another country.
03What can be coordinated

What is coordinated and who carries it out

  • Preparation of the file for the formation of a Honduran company, with a licensed Honduran notary and lawyer.
  • Coordination of the tax registrations and the municipal permit, with your accountant and your lawyer.
  • File for opening the bank account.
  • Calendar of obligations, prepared with your Honduran accountant.
  • Operations between Honduras and El Salvador. Honduras–El Salvador operations →

Who carries it out

In Honduras, the service is contracted and carried out by the entity identified in the proposal. Regulated acts are carried out by licensed Honduran professionals: the notary executes deeds and legalizations; a lawyer admitted to the bar handles the filings the law reserves for lawyers; the accountant handles bookkeeping and tax returns. Honduran institutions and banks make the decisions that are theirs to make.

06Contracting

Contracting, invoicing and limits

Contracting

Vertex coordinates projects with operational capacity in Honduras. The proposal identifies the contracting and invoicing entity, the participants, scope, responsibilities and fees separately from external costs. The initial call is free and creates no obligation for either party. We quote according to scope, complexity and country. The proposal separates Vertex fees from third-party costs. If you completed the initial assessment beforehand, its fee may be credited as set out in the proposal.

Invoicing

The contracting and invoicing entity, currency and applicable taxes are identified in the proposal before work begins. The professionals and suppliers involved invoice their own fees according to the agreed scope.

Third-party costs

Fees of notaries, lawyers, accountants or other professionals, official fees, translations and apostilles are itemized before work begins. Whenever possible, you pay the professional, supplier or operator directly. If Vertex needs to handle a payment, the item requires your prior authorization and is presented separately. No hidden markups are applied.

Exclusions

The following are not part of the service: notarial acts; legal, tax, immigration, accounting or financial advice; procedural agency and representation before Honduran authorities; the company's bookkeeping and tax returns; official fees, duties and third-party fees.

Limits

  • We do not have our own offices in Guatemala or Panama.
  • We do not guarantee decisions by the registry, the tax authority, the municipality or the banks.
  • The regulatory information on this page is general, does not replace the opinion of a licensed Honduran professional and may change.
  • We communicate directly in Spanish and English. When a counterpart requires Mandarin or another language, we coordinate translation tools and external interpreters according to the needs of the case.
07Reference regulatory framework

Reference regulatory framework

This section describes in general terms the framework that is usually involved. It is not advice and does not detail requirements, fees or timelines, which change and depend on each case. Check the official source and the opinion of your licensed Honduran professional.

Commercial companies

Decreto 284-2013 (a Honduran law on employment generation, entrepreneurship, business formalization and investor protection) regulates, among other matters, the formation of commercial companies, including single-shareholder companies, and a form for their registration with the Registro Mercantil (the commercial registry), in addition to the public deed route. The right form is determined by your Honduran lawyer or notary.[1]

Tax obligations

The Servicio de Administración de Rentas (the Honduran Revenue Administration Service) administers national taxes, including income tax on legal entities, and publishes guides for the corresponding returns. Your Honduran accountant confirms which obligations apply to your company.[2]

Land in border and coastal zones

The Constitution of Honduras establishes restrictions on the acquisition of land located near the borders and the coasts, with regulated exceptions. If your project includes a property in those zones, a legal review before you commit is advisable.[3]

Foreign documents

Honduras is a party to the Hague Convention abolishing the requirement of legalization for foreign public documents (the Apostille Convention). Each institution may ask for additional requirements.[4]
